Gate Level Netlist to RTL Conversion..... IP Licensing

Hi,
I'm posting this query to clarify many of mine and others doubts.

1. Is there any tool available to Convert the Gate Level Netlist to RTL (Low level to High Level Abstraction Conversion) ?
2. If so, most of the SoC are equipped with 100s of IPs. How do they ensure their IPs are not re-engineered and not violating IPR regulations ?

Please provide feedback.

I guess the easiest way to do it is via the contract when you license the IP. The IP provider must indemnify you against any licensing violations in the IP they license to you.
