Will my circuit work for the following goal?: When INPUT_N is HIGH (i.e. micro is not driving it and it is pulled up to 3.3V), VCC pin on device will have 24V. When Microcontroller drives INPUT_N to be LOW, VCC pin is at 0V (so device is off).

I have a 1G ethernet link which goes through three boards (Board1, Board2, and Board3).
Board1 has to have diff impedance of 100ohm, Board 3 has to have diff impedance of 85 Ohm. (existing boards)
Question: Is it better for Board2 to have 85 Ohm diff impedance??? or something in the middle...

The analog output of a sensor that I want to digitize is in the 0-150mV range. The lowest Vref to the ADC of my Microcontroller I can supply is 3.3V.
