PIC24HJ with ENC28j60 Ethernet to rs232 adapter

I connected the Pic24HJ128gp306 with ENC28J60.

ENC28J60 PIC24HJ
--------- ---------
1.CS ------- RB15
2.SDO ------- SDI [RF2]
3.SDI ------- SDO [RF3]
4.SCK ------- SCK1 [RF6]
5.INT ------- RD9
6.RST ------- RD8
Also I am using a MAX3232 chip for RS232 and connected the TX,RX Pins
[Pin no: 31and 32 of 24HJ] I dont want to use RTS,CTS.
I am using 25MHZ crystal for ENC28J60 and 14.74561Mhz for 24HJ.
Power supply 3.3v. For mpeg decoding application purpose i want to run this PIC at 14.7456Mhz crystal.And the budrate must be 115200.
I need a simple bootloader to program the flash through PC serial port.
Anybody can help me how to modyfy the 24Hj boot file from microchip for my project.Or can anybody write the frimware for this project.

I am trying to modyfy the microchip 24HJ bootloader.I have some doughts. The CPU can run only FCY at 80mhz. Or low 73728050hz. Anybody can help?
