Why dont you try OGG Vorbis?, It's free to use based on GPL, and source, documentation is avaliable.

Codecs , chips , almost anything and everything you will ever want to know about mp3.

If you want GUI version too, use razorlame.

LAME is a good choice which has very clean code.

I've managed to find a VHDL MP3 decoding in Lund University website. Try searching through google.
