Well first if you want to design 40 Msps-12 Bits SAR ADC, you need 480 MHz takt. That means your comparator, and your DAC need to have 2.1ns response time totally. That is quite a problem.
Second you need to design "12 bit good" comparator (regarding offset) and 12 bit good DAC...

Did you model parasitic resistance and how big it si?

Process converges if X(1)>0. The value to wich converges is sqrt(a) . I didn't understand exactly what do you mean with second question.

Well I'm not sure, but I think that your capacitor has 20V breakdown voltage between each node and well. This means that 20V is maxisimum that you can have between nodes and ground (or vdd).
My advice is don't use it. If in any moment you have voltage over 8V at capacitor...

well it's not so bad idea to use this clock. You need 11 bit for generating 2.024ms periodical signal. Any analog realisation will take bigger chip area.

Usualy there is such protection in microcontrollers. They probably put it to be sure. You should also look for microcontroller's datasheet. This is because they specify the maximum voltage in ESD case. If you want to protect it against biger ESd than you have to put external protection.
