How to connect 5v chip with 3.3v chip?

BTW, the connection is bi-directional bus.

You can use bus-switches or bus-translators from:

IDT: QS3861 (Pericom has also)

Fairchild: FSTD16211 (internal diode to 5V)

Some chips is not require a convertion, you can tie 5V logic to 3.3V directly with pull-up resister. For Ex. Atmel DataFlash.

What is the 3.3V chip of yours?

look at the datasheet for maximum VIH of the 3.3v chip is greater from 5v
and see if the minimum VOH of 3.3v chip is greater from VIH of the 5v chip to see if you can connect them directly
