Same chip design, just differences in the transistors that make up the chip. In some cases the chip doesn't operate as fast and therefore is binned in a slower speed grade, so they can sell more chips instead of tossing them and reducing yields.
If a chip manufacturer could produce all chips at the highest speed grade without fail they would mark all of the chips with that speed grade, especially as they can charge more for faster parts.
