I have this problem too.
MotherBoard: Gigabyte's GA-6VTXE Rev1.1, VIA ChipSet.
Win98SE.
I spend 3 days for researchin'. :(
And... i solve this problem by inserting ISA MultiCard (yeah! ooooldye ISA), and disable motherboard's integrated COM1.
Now, ICD2 downloadin' OS...
Try 2 use old 82C55A (8*3=24 pins per chip), simple cascading.
70 pins / 24 pins = ~3 pcs of 82C55A.
And you have full speed, full functuinal I/O.

Re: 300m RS232 ?
You need only:
1. High-current transmitters.
2. Terminators (GND) on the receiver side.
This is not simple, but it is very simple.
Couple years ago, my RS232 application works abt. 1000 meters long-range (9,6 kbps speed without any CRC-codes).
