Is FT232R working on WINDOWS XP ?

Yes. They do offer the driver for XP.

thanks . but can you give me the schematic for using ft232r with simple Txd and Rxd lines.i mean, is there any need of handshaking signals?

perhaps not
you can have 3 wire communications. www.ftdi.com can give you lots of info and even winXP based drivers, to make life easy to start with.
Generic breakout board using FT232RL is elaborated in www.sparkfun.com
