For now, I am using old version Protel; Protel98 to design schematic and PCB. If I install new version of Protel, I mean Protel DXP2004 and I make schematic using it, can I open the schematic file using old Protel98?

I think you have to add voltage level converter IC such as MAX232/3237, not to connect your mobile phone and uC directly
Usually if a module has TCP IP stack, it also has PPP protocol, are you sure your MC35i doesnt have PPP protocol?
If it doesnt, you have to write your own ppp code.

Hmm.. if your GSM module has built in TCP IP stack, I dont think you need to build Tcpip program, just order your uC to control the stack according to Enfora hardware manual.
Mostly,GSM modules have been implemented with built in TCPIP stack.

All GSM modules have their AT-command for controlling GPRS.
I've tried 2 GSM modules, one is Sony Ericsson GR47 and the other is from Telit Gm862. I use hyperterminal to connect GPRS.
I suggest you try using terminal program before interfacing using uC.

sony ericsson gr47 gprs module
No, I don't have dev.board for GR47. I don't use all GR47's functions so I think it's not necessary and it's quite pricey as well.
I use GR47 dev board myself.
